Terms of Service
These terms govern Prosewire Cloud. They do not replace the Apache 2.0 license for the open source Prosewire software.These Terms of Service are a contract between you and the provider of Prosewire Cloud. Prosewire Cloud is currently operated by Akshit Kr Nagpal, the maintainer named in the project’s public Security Policy. In these Terms, “Prosewire,” “we,” and “us” mean that provider. If an order form names a different provider, that provider is the contracting party for that order.
By creating a Cloud account, accepting an invitation, or using Prosewire Cloud, you agree to these Terms. If you use the service for an organization, you confirm that you can bind that organization. If you cannot, do not use Prosewire Cloud for it.
1. What these terms cover
These Terms cover the hosted dashboard, APIs, readers, and related services at cloud.prosewire.com. The Acceptable Use Policy, Privacy Policy, and, for business processing, the Data Processing Addendum form part of these Terms.
The Prosewire source code and published open source packages remain governed by their stated licenses, including Apache 2.0 where applicable. Running your own deployment does not make Prosewire the operator of that deployment. The person or organization running it is responsible for its users, data, security, notices, and legal compliance.
2. Accounts and workspaces
You must be at least 18 years old and legally able to enter a contract. Provide accurate account information, keep it current, and protect your password, session, and management keys. Tell us promptly if you believe an account or credential has been compromised.
Workspace owners control membership, roles, publications, and content. An organization is responsible for its users and for activity performed through its accounts and keys. We may rely on instructions from a workspace owner or an authorized administrator.
3. Customer content
You keep ownership of the text, images, metadata, code, and other material you submit to the service. You grant us a nonexclusive license to host, copy, process, transmit, and display that content only as needed to provide, secure, support, and maintain Prosewire Cloud, follow your instructions, and comply with law.
You are responsible for your content and for having the rights and notices needed to collect, publish, or process it. Do not submit regulated health information, payment card data, government identification numbers, account passwords, or special category personal data unless a written order expressly permits it.
Public posts are public. A workspace user who publishes content instructs us to make it available through the selected public readers, feeds, APIs, embeds, and framework integrations. Drafts and future scheduled posts are not intended to be public, but you should still avoid putting secrets in the service.
4. Service changes and availability
Prosewire is a pre-1.0 service. We may change features and interfaces. We will give reasonable notice before a change that materially reduces a paid service, when practical. We may perform maintenance, respond to security events, or limit service to protect Prosewire, customers, or others.
No service level agreement applies unless a signed order form says otherwise. Preview, beta, and free features may change or end without a continuity commitment.
5. Fees
There is no fee unless a signed order form or checkout states one. A paid order will state the price, billing period, renewal terms, taxes, and cancellation rules. If an order conflicts with these Terms, the order controls only for that conflict.
6. Acceptable use
You must follow the Acceptable Use Policy. We may investigate suspected abuse and may remove access to specific content or suspend an account when reasonably necessary to stop harm, comply with law, or protect the service. When the risk allows, we will give notice and a chance to correct the issue.
7. Third-party services
You may connect Prosewire to a framework, domain, identity provider, mail system, or other third-party service. Its terms govern its service. We are not responsible for a third-party service or for changes it makes outside Prosewire’s control.

8. Privacy and data processing
The Privacy Policy explains how we handle personal data for our own purposes. When we process personal data in customer content on a business customer’s behalf, the DPA applies.
If you publish content or collect reader information, you are responsible for an appropriate privacy notice and legal basis. Our notice does not replace yours.
9. Intellectual property and feedback
Prosewire and its licensors keep their rights in the service, brand, and material they provide. These Terms do not transfer those rights. The open source licenses grant separate rights in covered code.
If you send feedback, you allow us to use it without restriction or payment. Do not send feedback that you do not have the right to share.

10. Suspension and termination
You may stop using the service at any time. A workspace owner may request closure under the Deletion and retention policy. Export content before closure if you need a copy.
We may suspend or terminate access for a material breach, nonpayment under a paid order, unlawful conduct, a serious security risk, or conduct that threatens the service or others. Except for urgent harm or legal restrictions, we will give notice and a reasonable chance to fix a curable breach.
After termination, your right to use the Cloud service ends. Sections that by their nature should continue will survive, including ownership, payment obligations, disclaimers, liability limits, and dispute terms.
11. Disclaimers
To the extent law permits, Prosewire Cloud is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. We do not warrant that published content will remain available, rank in search, meet accessibility rules, or satisfy your legal obligations.
Consumer rights that cannot be waived remain in effect.
12. Limits of liability
To the extent law permits, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data.
Each party’s total liability arising from Prosewire Cloud will not exceed the amount you paid for the service during the 12 months before the event giving rise to the claim. If you used only a free service, the cap is US $100.
These limits do not apply where law does not allow them. They also do not limit liability for fraud, willful misconduct, infringement of the other party’s intellectual property, breach of confidentiality, or payment obligations.
13. Business indemnity
If you use Prosewire Cloud for a business, you will defend and indemnify Prosewire against a third-party claim caused by your content, your unlawful use of the service, or your material breach of these Terms. This duty does not apply to the extent the claim was caused by Prosewire. We will give prompt notice, allow you to control the defense, and provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by or imposes an obligation on Prosewire without written consent.
14. Disputes
Before filing a claim, each party will give written notice and try for 30 days to resolve the dispute. Either party may seek urgent injunctive relief sooner. A claim may be brought in a court with lawful jurisdiction over the parties and dispute. Mandatory consumer venue and choice-of-law rights are not changed by this section.
15. Changes to these terms
We may update these Terms. The effective date at the top records the latest version. We will give at least 30 days’ notice before a material change applies to an existing paid customer, unless a faster change is needed for law or security. Continued use after the stated date means you accept the revised Terms. If you do not accept them, stop using Cloud and request closure.
16. General terms
Neither party may assign these Terms without the other party’s consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets. You may not assign them to a competitor of Prosewire without consent.
If one provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver. These Terms, incorporated policies, and any signed order are the entire agreement for Prosewire Cloud. They do not create a partnership, agency, or employment relationship.
